Convertible Note Amount:
S$300,000 (with an option to increase to $500,000)
Conversion A right:
Issuer raises at least S$1 Million in equity financing within 18 months (the "Series A" round) of the disbursement date.
Valuation cap at S$3.5 Million or 20% discount to Series A valuation, whichever is lower.
Conversion B right:
Issuer does not raise at least S$1 Million in equity financing within 18 months of the disbursement date
Valuation cap at S$3.5 Million or 4x Issuer's gross profit, whichever is lower
Conversion C right:
Issuer does not raise at least S$1 Million in equity financing within 24 months of the disbursement date
Valuation cap at S$3.5 Million or 3x Issuer's gross profit, whichever is lower
Shares on conversion:
Preference Shares
Be credited as fully paid and rank in full and above common shareholders in the Issuer's share register, for all dividends and distributions out of profits or assets of the Issuer declared. Free of all encumbrances and pre-emption rights.

Product Details
Through our brand Bambooloo, we offer zero plastic packaging daily essential products both in our local market, and through our licensing program to other markets of the world.
Alongside our own brand, we also have strategic trading partnerships with other world-class brands for Singapore, focused in their own way on the sustainable and plastic reduction needs we face.
Problem/Opportunity
66% of all consumer prefer to buy from companies with a triple bottom line focus (Nielsen Global Study, 2015) whilst 91% of consumers are looking for plastics free options (PackagingNews, 2017).
We believe the sweet spot for our company is by building a business focused on the combination of these two new consumer behaviour drivers.
Products which are made to be sustainable still contain some elements which can be harmful to the environment, such as the packaging in which these products come.
635 million kilos of plastic ends up polluting the ocean each year, (40cean NGO report, 2018), and much of the plastic which ends up in the ocean is from single-use daily essential items and their packaging. These plastics can take centuries to break down, if at all. Along with being harmful to sea creatures, the plastics disperse harmful chemicals into the sea and even contaminate the animals which humans eat, which can thus cause us to become sick.
Solution
We have created a wide range of daily essential products that are both plastic packaging free and coming from sustainable and renewable resources under our brand Bambooloo. Our brand is strongly trademarked and we are able to partner quickly with suitable partners in markets all over the world.
Our trading relationships in Singapore cover both the retail and the hotel sectors in particular. We will leverage these further by partnering with other world-class brands on a similar mission for the Singapore market, widening our opportunities and strengthening our reputation.
How Does It Work
We have created our first phase of products that can deliver plastic packaging free sustainable daily essential choices both here and elsewhere. A partner wishing to work under our licensing program uses our established Trademark, our packaging designs and if needed our supply chain. This thus allows for a plug-n-play approach to a partner with the channel knowledge in the market, but not expertise in sustainable products.
At the same time, we will leverage our home market knowledge to grow our domestic revenues for Bambooloo, adding to these additional revenues from strategic partner brands offering their own sustainable renewable product offer.
Revenue Model
We have a multiple revenue stream model.
From the sales made of Bambooloo directly through B2B and B2C channels and hotel channels.
Through licensing of the brand Bambooloo to overseas partners with a minimum revenue guarantee per year, over a five-year initial period.
From the sales of partner brands both B2B and B2C, retail and hotel sectors.
Traction & Accomplishments
A five-year license agreement for New Zealand worth @ $450,000 (Bambooloo).
Bambooloo is listed in 25 Cold Storage stores and is also available on Redmart, Lazada, and Honest Bee.
Launched JUST Water with Grand Hyatt Singapore with an agreement to supply 150,000 bottles in the first 12 months.
Use Of Funds
We will be using raised funds for the following purposes:
Strengthen our team.
Expand our range of offering in the local markets under our Bambooloo brand.
Develop the licensing program model process and support tools (Brand management app) and capture new markets.
